Maintenance Terms and Conditions
- Scope of Work: With Hosting Companies, ISP Providers and Web Browsers constantly upgrading their systems many Websites can fall behind in code validation rather quickly. You’ll notice that many Websites which have not been updated in the last five months will begin to slow down, or function improperly, image links break, URL links break and basic html begins to show up improperly.
This Website Maintenance Contract includes repairing scripting languages, basic HTML, cascading style sheets, broken images, broken links and all other malfunctioning code or components. Website maintenance includes revising, editing, adding content and links or otherwise changing existing web pages to keep your website up to date. The periodic addition of new web pages, file uploads and fixing database errors that prevent your website from operating properly are also part of the maintenance services.
This Maintenance Contract may also be applied to electronic newsletters. From updating text and images to managing the actual mail-outs and mailing lists - Excluded Work: Items that are not covered by the Website Maintenance Contract include but are not limited to graphic design, major flash script adjustments, creating new scripts of any kind, starting new web design projects, working outside of the original file structure or working outside of the original domain name.
- Quarterly Checkups: At the end of each quarter The Webmaster will check for any broken links, broken images, template distortion, test your contact forms, shopping carts and testing other interactive elements. Quarterly checkups also include site traffic statistics and search engine analysis reports. The Client will be notified via email when the Reports have been completed.
- Timeline: It is the Client’s responsibility to monitor the Website for items that need to be corrected, including text and malfunctioning components. The Client must inform The Webmaster of needed maintenance via email. The Webmaster will log all needed changes from all authorized parties for each domain with a Maintenance Contract. The Webmaster will complete all requested maintenance within 24 hours of the request. The Client will be notified via email when maintenance has been completed.
- Allotted Minutes: Each “Lot” of minutes totals One Hundred and Twenty (120) Minutes of Website Maintenance. Multiple “Lots” may be purchased for a single Website using a single Maintenance Contract. Every “Lot” of maintenance minutes will increase this maintenance contract by Ninety-Nine Dollars ($99) per month.
- Overages and Exclusions: Requested work that surpasses the allotted maintenance minutes will be billed to the Client at the regular hourly rate. Excluded work that is not covered by the Website Maintenance Contract will be billed to the Client at the regular hourly rate. Multiple Maintenance Contracts can be purchased for the same website, increasing the number of allotted minutes for a particular Website. Allotted minutes not used during the associated month will not be transferred to the proceeding months or billing cycles.
- Billing for this Website Maintenance Contract will begin as soon as the website development project is finished or the day that the Website Maintenance Contract is signed. All Maintenance Contracts will be managed on a quarterly basis. Billing will be pro-rated for the first quarter, thereinafter billing cycles will be set to end the last day of the first quarter in March, the second quarter in June, the third quarter in September and the fourth quarter in December. Invoices will be mailed fifteen (15) days prior to the beginning of each billing cycle. Clients that are also receiving our Hosting service will pay a monthly rate for the maintenance contract combined with their monthly hosting payment.
- Termination: The Webmaster reserves the right to terminate service for any reason, but not limited to the following reasons: websites involved in domain name disputes, failure to pay for services on time, solicitation or selling of illegal products or services, fraud or phishing. The Client may cancel this Website Maintenance Contract at any time, by giving The Webmaster thirty (30) days written notice, provided that payment is up-to-date. A pro-rata refund will be given for any unused period of the advance payment.
- Entire Understanding: This Maintenance Contract, together with the Development Contract, constitutes the sole agreement between The Webmaster and the Client regarding its Web Design Service. This contract becomes effective only when signed by both parties. Regardless of the place of signing of this agreement, the Client agrees that for purposes of venue, this Maintenance Contract was entered into in Kingston, Ontario Canada and any dispute will be litigated or arbitrated in Kingston, Ontario Canada. This agreement shall be governed and construed in accordance with the laws of the province of Ontario, Canada.
